4. Payment Terms

Final payment: Due upon project completion
Monthly retainers: Payable in advance on the 1st of each month

5. Intellectual Property

All content, designs, code, and materials created by Upscale Decode remain our intellectual property until full payment is received. Upon full payment, rights to the deliverables are transferred to the client as specified in the project agreement.

6. Service Level Agreement (SLA)

7. Confidentiality

8. Limitation of Liability

Upscale Decode shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for the specific service in question.

9. Refund and Cancellation Policy

Refund eligibility depends on the service type and project stage:

Deposits are non-refundable once work has commenced
Monthly retainer services can be cancelled with 30 days notice
Completed work is non-refundable
Project cancellations must be submitted in writing

10. Warranty and Support

We provide warranty and support services as follows:

30-day bug fix warranty for development projects
Technical support for the duration of retainer agreements
Training and documentation for delivered solutions
Additional support available through paid maintenance packages

11. Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any breach of these Terms of Service. Upon termination, all rights granted to you will cease immediately.
